Terms and Conditions

Terms governing the Population Health 125 website, employer-sponsored program communications, email, and SMS services.

Effective: August 28, 2026 Version: 1.0 Document ID: PH125-TOS-PUB-001

Please Read These Terms Carefully

By accessing the Population Health 125 website, using a PH125 service, submitting a form, or affirmatively enrolling in an electronic communication program, you agree to the provisions that apply to that activity. If you do not agree, do not use the applicable website feature or communication program.

1. About Population Health 125

Population Health 125, LLC supports employers, employees, eligible participants, brokers, and business partners in connection with employer-sponsored benefits, wellness, engagement, education, and related program-administration services. References to "PH125," "Population Health 125," "we," "us," or "our" mean Population Health 125, LLC.

2. Scope and Relationship to Employer Plans

These Terms govern PH125-controlled websites, forms, communications, and support services. Employer-sponsored plans and third-party benefits may be governed by separate plan documents, enrollment materials, provider terms, privacy notices, and contracts. If a conflict exists, the applicable plan or provider document controls for that specific benefit or service.

3. Informational Nature; No Emergency or Professional Advice

Website and communication content is provided for informational, educational, administrative, and program-support purposes. It is not emergency service, medical diagnosis or treatment, legal advice, tax advice, insurance advice, or financial advice. Call 911 or the appropriate emergency service for an emergency. Consult qualified professionals for advice applicable to your circumstances.

4. Eligibility and Accurate Information

Access may depend on employer sponsorship, program eligibility, enrollment, or verification. You agree to provide accurate information, maintain the confidentiality of credentials, use only contact information you own or are authorized to use, and promptly report unauthorized access or incorrect contact information.

5. Third-Party Services and Links

PH125 may provide access or links to independent vendors, healthcare providers, benefits platforms, educational resources, or other services. Those parties are responsible for their own services, terms, privacy practices, availability, and professional decisions. A link does not create an endorsement unless expressly stated.

6. Acceptable Use

You may not misuse PH125 systems; attempt unauthorized access; disrupt service; submit false consent; impersonate another person; introduce malicious code; scrape data; infringe rights; use content unlawfully; or use PH125 communications to harass, defraud, or harm another person. PH125 may restrict or suspend access to protect users, systems, or legal compliance.

7. Intellectual Property

PH125 names, logos, text, graphics, forms, policies, designs, software, and other content are owned by or licensed to PH125 and are protected by applicable law. You may use materials only for authorized informational, enrollment, administration, or evaluation purposes and may not reproduce, modify, distribute, or create derivative works without permission.

10. Electronic Records and Signatures

You agree that electronic submissions, checkboxes, timestamps, verification links, SMS keyword responses, message records, and other electronic actions may constitute records of your choices and may be retained as permitted by law. You may request a copy of an applicable consent record by contacting PH125, subject to identity verification and legal limitations.

11. Privacy and Security

PH125 handles personal information as described in the Privacy Policy. You are responsible for securing your device, account, and email/mobile access. Do not send Social Security numbers, passwords, financial account details, or detailed health information through ordinary email or SMS unless PH125 specifically provides an approved secure method.

12. Service Availability and Changes

PH125 may modify, suspend, or discontinue website features or communication programs; change vendors or sending numbers; or update message content and frequency within the scope of valid consent. Material changes to the SMS sender, purpose, message type, or frequency will be reviewed and may require new notice or consent. PH125 may update these Terms by posting a revised version and effective date.

13. Disclaimer of Warranties

To the fullest extent permitted by law, PH125-controlled websites and informational services are provided on an "as is" and "as available" basis without warranties of uninterrupted availability, error-free operation, or fitness for a particular purpose. This disclaimer does not limit rights that cannot lawfully be waived.

14. Limitation of Liability

To the fullest extent permitted by law, PH125 will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or communications, interruption, delayed delivery, third-party services, or reliance on general informational content. Any limitation applies only to the extent permitted by applicable law and does not exclude liability that cannot lawfully be limited.

15. Indemnification

To the extent permitted by law, you agree to be responsible for losses arising from your intentional misuse of PH125 services, unauthorized access attempts, violation of another person's rights, or knowingly false information or consent submitted by you. This provision does not apply to ordinary good-faith use of employer-sponsored benefits.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where another law must apply. Venue will lie in a court of competent jurisdiction in New York, subject to any binding plan, contract, or statutory dispute process and any rights that cannot be waived.

17. Severability; No Waiver; Entire Terms

If a provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, applicable consent disclosure, employer/plan documents, and third-party provider terms constitute the applicable agreement for their respective subjects.
